Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer") and Chuchi Enterprise Limited ("we", "us", "AkiliLex"), governing your access to and use of the AkiliLex software platform.
1. Acceptance
By creating an account, signing in, or using the platform you confirm you have read, understood, and accept these Terms together with the Privacy Policy, Data Protection Statement, and Legal Disclaimer.
2. The Service
AkiliLex is a software-as-a-service platform providing legal-practice operations tools including matter management, document templates, time tracking, multi-channel communications, accounting, and document authentication. The Service is provided "as is" subject to the limitations set out in these Terms.
3. Accounts and Authorised Users
You must provide accurate registration information and keep your account secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access.
Each subscription is for a defined number of Authorised Users. Login credentials must not be shared between individuals.
4. Subscription Fees
Fees are payable monthly or annually in advance per the published pricing or your specific agreement. All fees are quoted inclusive of VAT (currently 16% in Kenya); a tax invoice (eTIMS ETR) is issued for each payment. Failure to pay may result in account suspension after a 14-day grace period.
5. Acceptable Use
You must not:
- Use the Service for any unlawful purpose;
- Hold yourself out as an Advocate of the High Court of Kenya unless duly admitted;
- Send unsolicited bulk communications ("spam") through the Communications module;
- Attempt to reverse-engineer, decompile, or otherwise extract source code;
- Use the Service in any way that infringes third-party intellectual property;
- Upload malware, viruses, or any malicious code;
- Interfere with or disrupt the Service or its infrastructure.
6. Your Content and Data
You retain ownership of all data, documents, and content you upload to the Service ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely for the purpose of providing the Service to you.
You warrant that you have all necessary rights and consents to upload and process Customer Data through the Service, including consent from data subjects under the DPA 2019.
7. Templates and Generated Output
Templates supplied through the Service are provided as starting points only. You are solely responsible for ensuring any document generated through the Service is legally compliant, factually accurate, and fit for its intended purpose before execution, filing, or transmission. 8. The AkiliLex Seal
Documents generated through the Service may carry a verifiable AkiliLex Seal. The Seal attests only that the document was generated through the platform on a given date for a given matter. It carries no warranty as to legal content.
9. Intellectual Property
The Service, including its software, design, templates, and branding, is owned by or licensed to Chuchi Enterprise Limited. Use of the Service grants you a limited, non-exclusive, non-transferable right to access and use the Service per these Terms. No other rights are granted.
10. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, if your account becomes more than 14 days overdue, if required by law, or if your use poses a security risk. You may terminate at any time through your account settings; refunds for partial periods are not provided.
11. Service Levels
We target 99% monthly uptime for the Standard plan and 99.9% for the Premium and Enterprise plans. Scheduled maintenance windows are notified in advance.
12. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising from or in connection with these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, special, or consequential losses.
13. Indemnity
You shall indemnify and hold us harmless from any third-party claim arising from your use of the Service or any document or content produced through it.
14. Changes to These Terms
We may amend these Terms from time to time. Material changes will be notified by email to your registered address at least 30 days in advance. Continued use after the effective date constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of Kenya. Any dispute shall be referred to mediation in the first instance and failing resolution, to the exclusive jurisdiction of the courts of Kenya.
